ABS Group Limited, a company incorporated in the British Virgin Islands with registered address, Portcullis Chambers, 4th Floor, Ellen Skelton Building, 3076 Sir Francis Drake Highway, Road Town, Tortola, British Virgin Islands VG1110 (the “Company”).

PLEASE READ THE TERMS & CONDITIONS SET OUT HEREIN (“TERMS & CONDITIONS”) CAREFULLY BEFORE USING THE SERVICES PROVIDED BY THE COMPANY.

 

I. Introduction

 

  1. These Terms & Conditions constitute the general conditions between you (the “Attendee”) and the Company. These Terms & Conditions are applied to all services, products, events, conferences, webinars, meetups, websites, content (the “Services”), created and managed by the Company.
  2. Your use of the Services is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
  3. These Terms & Conditions do not apply to any third-party services or websites linked from or integrated in any service or website of the Company. Such third parties have their own privacy policies and terms & conditions, which the Company does not control in any way.
  4. When these terms mention “we,” “us”, “our”, “ours” it refers to the Company.
  5. By using our Services, Attendees acknowledge that they are aware, understand, and accept in full any and all of the following provisions of these Terms & Conditions.
  6. All Services are owned by the Company.
  7. British Virgin Islands law applies to these Terms & Conditions and all relations between the Company and Attendees with relation to the use of the Services provided by Us.
  8. All claims relating to the use of our Services arising between the Attendees upon and/or in connection with these Terms & Conditions, including disputes arising from or concerning their interpretation, invalidity, performance or termination of the relationship between the Attendee and the Company shall be resolved by any competent court.

 

II. Terms of registration

 

  1. Only individuals who are at least 18 years of age (or respectively – are of legal age under the laws of their country of residence, from which they access our Services), and only on condition that these individuals are not placed under guardianship and/or whose capability is not limited in any other way, have the right to use our Services;
  2. Individuals who do not meet the above conditions are not entitled to use our Services. By completing a registration to use our Services, each Attendee affirms that they satisfy the requirement above. If the Company subsequently finds out that the Attendee within the meaning of the preceding sentence is not eligible for registration, the Company may, without any prior notification to the Attendee, cancel the registration and respective Attendee account.
  3. If a legal entity is registered, the registration should be carried out only by individuals who legally represent it. In the event that a person other than those mentioned in the previous sentence carries out the registration, that person as an individual shall incur all obligations relating to the registration.
  4. We are constantly updating and improving our services through development of new features. As a result, we may need to update these Terms & Conditions from time to time to accurately reflect our latest Services and policies. Unless otherwise required by law, we will notify you (for example, by email or through our Services) after publication of the amendment and give you an opportunity to review them. Once any updated Terms & Conditions are in effect, you will be bound by them if you continue to use our Services. In the event that the Attendee does not agree with any amended Terms & Conditions, the Attendee must notify the Company in writing to immediately request deletion of their account and incur all related adverse effects arising thereof. If the Attendee fails to notify the Company of such disagreement, or has not taken the necessary measures to remove their registration and account, then it will be considered that the Attendee agrees fully with the amendment and/or supplement of these Terms & Conditions. We will treat your continued use of any of our Services as acceptance of these changes from their effective date as shown.
  5. Registration for our Services and account termination are voluntary (except for compulsory termination with punitive character) and depend solely on the will of the Attendee.
  6. Registration for an account is free. The only condition is to meet the Attendee requirements and conditions within the meaning of these Terms & Conditions and declare full and unconditional acceptance of these Terms & Conditions.
  7. In the process of registration all Attendees must complete a registration form with the minimum necessary and optional content. Proper completion of the minimum required content is a prerequisite for successful registration of the Attendee. The fields with optional content are filled in upon the will and at the independent discretion of the Attendee.
  8. By registering to use our Services each Attendee declares that he/she agrees and does not object to the provision and processing of personal data provided in the registration process, or which they will subsequently provide – during the use of our Services. For more details, please read our Privacy Policy.
  9. Data provided by any Attendee upon registration is considered complete and correct until proven otherwise. All Attendees are responsible for the veracity and the integrity of the data provided in connection with their registration. The Company reserves the right to edit the information provided upon registration by each Attendee, to delete that part of it which in his own independent judgment is contradicting the rules of these Terms & Conditions and/or morals.
  10. Some of the data provided by the Attendee upon registration, such as the data from the profile of the Attendee, as well as any other information that the Company possibly deleted under the previous provision, may be visible to other registered Attendees. For more details, please read our Privacy Policy.
  11. The Attendee has the right to change and update the personal information that is designated for the purpose of creating their profile at any time.
  12. By registering to use our Services, each Attendee states and declares to respect the personal dignity of other Attendees and not to make racist, xenophobic and discriminating statements and shall not (a) violate, impair or otherwise harm protected by copyright, trademark or other intellectual property rights of others; (b) reveal trade secrets, unless their own trade secrets unless the disclosure shall be made with the consent of the owner; (c) disseminate content that is offensive, offending public decency, indecency, pornographic, violent, obscene, provokes hatred and intolerance, aggressive or otherwise violates laws and/or protected rights and legal interests of other individuals; (d) distribute contents that contain viruses, Trojan horses, worms, time bombs or other computer programs, algorithms or computer practices that are likely to damage, disrupt or otherwise adversely affect the functional life of our Services, as well as the technical means to access the Services by other Attendees.
  13. We are under no obligation to monitor user activities.
  14. In some cases, described in our Privacy Policy (most important to provide a safe environment to our users), we may monitor or disclose your information.
  15. You should be aware of the potential risks of using our Services.
  16. Our Services may contain links to other webpages, domains, mobile applications, social networks and other webpages, domains, mobile applications, social network. These other webpages, domains, mobile applications, social networks are not under the control of the Company and we do not bear any responsibility for the security of operation and protection of personal data offered by such other third parties. Visiting these pages by links on our Services shall be entirely at the responsibility and risk of each individual Attendee.

 

III. Event and Ticketing

 

  1. Purchasing a ticket and payment for entry does not guarantee immediate access to the event. Entry is subject to these Terms & Conditions and other requirements as set out by the Company in its sole discretion. By purchasing a ticket, you agree to abide by these Terms & Conditions and acknowledge that the Company holds the final decisions regarding entry into events. Prices are set out on the online booking form and may be subject to change from time to time, but any changes will not affect tickets that have already been purchased. All prices are subject to local taxes where appropriate. We may, but are not obligated to, offer discounts for the event and reserve the right to change or withdraw a discount offer at any time in our sole discretion.
  2. Each ticket is valid for the registered Attendee only and cannot be transferred or resold without the explicit permission of the Company. All tickets must be assigned to an Attendee, and all Attendee details must be complete within 30 days of receipt of your ticket. For the avoidance of doubt, this includes name, job title and company name.
  3. Once a successful purchase transaction has been completed, tickets are delivered in electronic soft-copy via email to the email address nominated by the purchaser. For some ticket types it may be necessary to complete required information – such as Sttendee name or tax identification number – before the tickets can be issued. The ticket acts as a receipt for the transaction and can be used to redeem entry at the event listed on the ticket. A printed hard-copy ticket or an electronic soft-copy ticket detailing the reference number can be used to register at the event.
  4. We reserve the right to cancel any tickets obtained through illegal means, including but not limited to bug exploitation or any other method that we deem improper or unauthorized. In the event that tickets are acquired through such unlawful or unauthorized means, we retain the authority to cancel those tickets without prior notice. Cancellation and refund policies are determined in the sole discretion by the Company and may be subject to specific terms and conditions. It is your responsibility to familiarize yourself with any such requirements before purchasing a ticket.
  5. The Company reserves the right to amend or modify these Terms and Conditions or any other terms and conditions without prior notice. It is your responsibility to review the terms and conditions for any updates or changes.
  6. All attendees must adhere to a code of conduct attending an event or utilizing any of the Services. This includes respecting the event staff, other attendees, and the event premises. Any behavior deemed inappropriate or disruptive may result in the removal of the individual from the event without a refund.
  7. Tickets cannot be exchanged, cancelled or refunded after purchase unless the event is cancelled or rescheduled. No refunds will be provided if the event is postponed or rescheduled. In the unlikely event of cancellation of the event, our total aggregate liability to you is limited to the refund of paid fees that remain after credit card and payment processing fees have been incurred and deducted, and we will not be liable to you for any expenditure, damage or loss incurred by you as a result of the cancellation. Any refund will be made in the same form as the original payment was received (for example, a credit card payment will refund to the same credit card account number). You acknowledge that all refunds are subject to deduction of a €10 or $10 transaction fee or as otherwise advised (depending on the currency of your original transaction). Our free and subsidised ticket promotions sometimes include a processing fee. This processing fee is non-refundable in its entirety.
  8. By attending the event you acknowledge and agree that you are giving the Company consent to record or photograph you attending the event and store recordings for any videos, photos or recordings that you may appear. If you do not consent to being recorded, you can choose to leave the event. You agree to permit us, or any third party licensed by us, to use, distribute, broadcast, or otherwise globally disseminate your likeness, name, voice and words in perpetuity in television, radio, film, newspapers, magazines and other media now available and hereafter developed, both before, during and any time after the event, and in any form, without any further approval from you or any payment to you. This grant includes the right to edit the media, the right to use the media (alone or together with other information), and the right to allow others to use or distribute the media.

 

IV. Exhibitors

 

  1. The Company will not provide transport or travel expenses to or from any event or conference. The Company will consider but not guarantee exhibitors’ requests for day changes at any event or conference.
  2. All items (screens, laptops, cabling and other electronic equipment, rooms, furniture etc.) supplied are on a rental basis and no exchange, transfer or refund of ordered items on-site will be entertained. Exhibitors must pay for any damages or losses caused to items supplied to them. Cancelled orders are not refundable.
  3. Non-standard items may be offered on request, subject to a separate quotation, and are subject to the same terms and conditions. Any complaint regarding rental items or installation must be lodged before the opening of the event. In respect of items rented on the day, items should be inspected immediately and tested to ensure they work. Otherwise all items are deemed to be received in good order and condition. The equipment must be insured “all risk” by the hirer, who will remain liable until the authorised staff has collected the equipment. In case of disappearance, the equipment will be invoiced at the original insurance value.

 

IV. Intellectual Property

 

  1. All intellectual property within the Services, including appearance, design, source codes, methods of construction and operation are protected by and subject to copyright and related thereto rights and are the exclusive property of the Company. Saving of parts of the webpage without prior written consent of the Company, regardless of the form in which it is carried out, is forbidden.
  2. All trademarks, logos, and characters featured on the site are either property of the Company or used with the express consent of the owners of these trademarks, logos and signs. It is forbidden for Attendees to perform any action that may lead to a violation of intellectual property rights related to these trademarks, logos, and signs.

 

VII. Limited liability

 

  1. The Company cannot give a guarantee that our Services, will at all times:
    1. meet the requirements and subjective expectations of each individual Attendee for the content offered there;
    2. be uninterrupted, timely, reliable and secure and will operate 24 hours a day, 7 days a week without being allowed technical and human errors; and
  • provide at any time correct and reliable results.
  1. The registration of an Attendee does not guarantee any special treatment by the Company. Attendees expressly agree that the Company does not control and is not obliged to exercise such control over (a) which Attendees access the Services; (b) the content that each individual Attendee has access to; (c) how Attendees interpret and comprehend the contents of the Services accessed and/or (d) what actions or omissions may each Attendee undertake as a result of his/hers access to the Services and theirs contents. Therefore the Company cannot be held responsible for any adverse consequences which might affect one and/or more Attendees as a result of access to the Services.
  2. Services, content, website, and software of all kinds are offered to Attendees in the form in which they are available at the time, without taking any warranties – whether explicitly, or by implication – on their suitability for use or functional fitness to the objectives of each individual Attendee.
  3. The Company restricts to the full extent permitted by applicable law, liability for the accuracy, reliability, accessibility, universality, legality or operability of our Services. By using the Services each Attendee understands and accepts that the Company is not responsible for any damages due to (a) use of the Services; (b) downloaded information contained on the Services; (c) unauthorized use of images, information or data by upload and/or download from the Services by other Attendees; (d) temporary or permanent inability to access Services’ content because of, including but not limited to, viruses, Trojan horses or other similar parasitic programs of destructive nature.
  4. By accessing it, Attendees of the Services may have access to other domains, websites, mobile applications, social networks. These other domains, websites, mobile applications, social networks are not under the control of the Company. Unless explicitly stated otherwise, the Company makes no warranties in relation to other domains, websites, mobile applications, social networks, including in terms of information security and its character.
  5. The Company will not be liable for any loss injury or damage to any person or property howsoever caused (save for death or personal injury as a result of Company’s negligence or for any other type of liability that cannot by law be excluded or limited.)

  7. The Company will not be liable for the granting of any visas that are required to attend any event or conference. In the event that an Attendee’s visa is not granted tickets will not be refunded for any event or conference.
  8. Please note that while speakers and topics are confirmed at the time of publishing, circumstances beyond the control of the Company may necessitate substitutions, alterations or cancellations of the speakers and/or topics. As such, the Company reserves the right to alter or modify the advertised speakers and/or topics if necessary without any liability to you whatsoever. Any substitutions or alterations will be updated on our website as soon as possible.

 

VIII. Additional provisions

 

  1. You agree to be fully responsible for (and fully indemnify us against) all claims, liability, damages, losses, costs and expenses, including legal fees, suffered by us and arising out of any breach of the terms by you or any other liabilities incurred by us arising out of your use of the Services, or use by any other person accessing the Services through your account or ticket.
  2. If any provision of these Terms & Conditions be declared invalid or unenforceable by a competent court, arbitration or other competent authority, other provisions of the Terms & Conditions, as well as rights and obligations of the parties based on these other provisions retain their effect. Null and void provisions shall be deemed unwritten in these current Terms & Conditions and should be replaced by the parties in good faith with applicable and mutually acceptable provisions with similar meaning and effect to that of the null and void provision.
  3. The failure or delay of the Company to exercise their rights, right in default, judgment, agreement or other rights under these Terms & Conditions shall not constitute a waiver of any rights. Single or partial exercise of any such right shall not restrict a future full exercise and does not constitute a waiver of any other rights under these Terms & Conditions. All waivers or consents of the Company granted in these Terms & Conditions must be in writing.
  4. These Terms & Conditions shall take effect and bind the parties thereto and their successors. Notwithstanding the preceding sentence, neither party will be entitled to transfer any part of its obligations under these Terms & Conditions without the prior written consent of the other party. This provision cannot be interpreted and applied in a way that limits the ability of the Company to transfer their own rights and obligations to a related party, if necessary, or is prompted by reasons of convenience.
  5. These Terms & Conditions make up the entire agreement between you and us regarding your use of our Services. They supersede any prior agreements.
  6. Some of the Services we offer are also governed by supplemental terms. If you use any of those Services, you will be provided with an opportunity to agree to supplemental terms that will become part of our agreement with you. To the extent any supplemental terms conflict with these Terms & Conditions, the supplemental terms shall govern to the extent of the conflict.
  7. If any portion of these Terms & Conditions are found to be unenforceable, the remaining portion will remain in full force and effect. If we fail to enforce any of these Terms & Conditions, it will not be considered a waiver. Any amendment to or waiver of these Terms & Conditions must be made in writing and signed by us.
  8. You will not transfer any of your rights or obligations under these Terms & Conditions to anyone else without our consent.
  9. These Terms & Conditions do not confer any third-party beneficiary rights. All of our rights and obligations under these Terms & Conditions are freely assignable by us in connection with a merger, acquisition, or sale of assets, or by operation of law or otherwise.
  10. You should know that we may need to change the username for your account in certain circumstances.
  11. We always appreciate your feedback and other suggestions about our Services and services. But you should know that we may use them without any restriction or obligation to compensate you, and we are under no obligation to keep them confidential.
  12. We reserve all rights not expressly granted to you.

Non-Personal Information

Confidentiality & Security of Personal Data

We consider the confidentiality and security of your information to be of the utmost importance. We will use industry standard physical, technical and administrative security measures to keep your Personal Data confidential and secure and will not share it with third parties, except as otherwise provided in this Privacy Policy, or unless we have good faith belief that such disclosure is necessary in special cases, such as a physical threat to you or others. Retention

We will retain your information as long as your account is active, as necessary to use our Services or as otherwise set forth in this Privacy Policy. We will also retain and use this information as necessary for the purposes set out in this Privacy Policy and to the extent necessary to comply with our legal obligations, resolve disputes, enforce our agreements and protect our legal rights.

We may charge you a reasonable fee for administrative costs. However, please note that your right to obtain a copy of your Personal Data is subject to the rights and freedoms of others, and we may have to deny your request should your request adversely affect the rights and freedoms of others.

Right to Rectification. You have the right to have any inaccurate Personal Data about you rectified. In addition, when there are any changes to your Personal Data, we highly encourage you to inform us of any such changes so that we may have an accurate record of your Personal Data.

Right to Erasure. You have the right to request that we delete or remove your Personal Data where your Personal Data is no longer relevant to the original purposes for processing, where we may have processed your information unlawfully, where you have withdrawn your consent to processing your Personal Data or where we are required to delete or remove your Personal Data pursuant to relevant legislation and regulations. However, please note that we may have deny your request where we are legally required to retain your Personal Data for, inter alia, reasons of public interest or for the establishment, exercise or defense of legal claims.

Right to Restriction of Processing. You have the right to request that we suspend the processing of your Personal Data where you want to establish the accuracy of your Personal Data, where the processing of your Personal Data is unlawful but you do not want us to erase your Personal Data, where we no longer require your Personal Data for the purposes of processing but you require us to retain your Personal Data for the establishment, exercise or defense of legal claims or where you have objected to our processing of your Personal Data but we need to verify whether we have an overriding legitimate grounds to use your Personal Data.

Right to Object. You have the right at any time to object to our processing your Personal Data on the grounds that there is something about your particular situation that makes you want to object. In addition, you also have the right to object to the processing of your Personal Data for direct marketing purposes. However, in some instances, we may demonstrate that we have compelling legitimate grounds to processing your Personal Data which may override your objection.

Right to Data Portability. You have the right to request us to transfer your Personal Data to you or to a third party of your choosing, in a structured, commonly used, machine-readable format. This right shall only be applicable where the processing of your Personal Data is carried out by automated means, and provided that the request does not affect the rights and freedom of others.

Right to Lodge a Complaint. You have the right to lodge a complaint at any time to the relevant supervisory authority. However, Company endeavors to provide you with the best user experience and therefore would appreciate the opportunity to deal with any concerns you may have before you seek the assistance of such supervisory authority.

Right to Withdraw Consent. You have the right to withdraw your consent at any time to us processing your Personal Data. However, the withdrawal of your consent shall not affect the lawfulness of our processing of your Personal Data that was based on your consent prior to your withdrawal. You may also withdraw your consent for specific forms of communication and on specific communications via the unsubscribe options as stated on our email or other marketing messages.

Please note that in withdrawing your consent, you acknowledge that we may not be able to provide or continue providing certain Services to you and that we may cease such provision accordingly without any liability.
